Should You Fix It or Disclose It? A Framework for Pre-Sale Tech Issues
Not every known issue should be fixed before a sale. Some should be scoped, priced, and disclosed deliberately.
Remediation consumes the same engineering capacity that produces the growth story a buyer is paying for. The decision is an allocation problem, not a moral one.
A working test
- Fix it if remediation costs less than the discount it will attract
- Fix it if discovery would call other disclosures into question
- Disclose it if the work is long, visible, and better funded by the buyer
- Never leave it undocumented and hope the sample misses it
Disclosure with a costed plan is a position of strength. Discovery without one is not.
